Ambassador & Enterprise Referral Addendum

The Ambassador program lets invited partners refer creators, venues, and developers to TrueFans CONNECT™ and earn commissions on referred activity. Ambassadors may also access an internal LMS and a community.

• Enrollment requires a valid, single-use invite code or an explicit admission by us.
• Sharing your invite code or referral link in ways intended to circumvent eligibility checks is prohibited.
• We may decline, revoke, or condition enrollment at our sole discretion.

• Direct (Tier 1) commission: up to 2.5% of qualifying donation volume from creators you refer, for a period disclosed in your dashboard.
• Indirect (Tier 2) commission: up to 2.5% of qualifying donation volume from creators referred by your direct referrals, for a period disclosed in your dashboard.
• Commissions are allocated from the Platform Fee retained by Company, not from creators' payouts.
• Commissions are earned only when an Order successfully settles, after the 14-day Hold Period and net of refunds, chargebacks, fraud reversals, and clawbacks.
• Payout requires completion of identity verification with Manifest Financial, a valid bank connection, and meeting any minimum payout threshold.
• Commission rates, qualifying activity, and payout terms may be adjusted prospectively. We will provide reasonable notice of material reductions to active Ambassadors.

Commissions tied to Orders that are subsequently refunded, charged back, reversed for fraud, or otherwise unwound are reversed. If your commission ledger is insufficient, the deficit is an obligation owed to Company under the Master Terms.

• We make no representation, warranty, or guarantee about earnings under the Ambassador program. Results depend on your effort, audience, and many factors outside our control.
• You will not make earnings claims that misrepresent typical or likely results, and will follow the FTC's endorsement and testimonial guides (or local-jurisdiction equivalents) when making any claims.
• You are an independent contractor. You are not an employee, partner, agent, joint venturer, or franchisee of Lightwork Digital LLC or TrueFans CONNECT™.

• Disclose your material connection to TrueFans CONNECT™ clearly and conspicuously in any promotional content (e.g., "I earn commissions through the TrueFans Ambassador program.").
• Send marketing email and SMS only with appropriate consent and applicable disclosures. Comply with CAN-SPAM, the TCPA, 10DLC/A2P, state telemarketing laws, GDPR/UK-GDPR, CCPA/CPRA, and similar laws.
• Do not make claims about TrueFans CONNECT™ that are inaccurate, unsubstantiated, or that we have not authorized.

• Ambassador-only courses and certificates are educational tools to help you use the Service. They are not professional credentials, do not represent accreditation, and do not warrant any particular outcome.
• We may revoke certificates for material misuse, fraud, or violation of these Terms.

• You may use TrueFans CONNECT™ marks only as expressly permitted in our brand guidelines and may use only the assets we provide.
• Do not register domain names, social handles, or trademarks that include TrueFans CONNECT™ marks or confusingly similar variants.
• Do not represent yourself as an official spokesperson, employee, or executive of Lightwork Digital LLC or TrueFans CONNECT™.

Commissions are taxable income. You are responsible for your own taxes and for providing accurate W-9 or W-8 forms to us or Manifest Financial. We may issue 1099 (or equivalent foreign forms) where statutory thresholds are met and may apply backup withholding when forms are missing or invalid.

• You may leave the program at any time. We may terminate enrollment at any time, with or without notice, for violations, fraud, inactivity, or strategic reasons.
• On termination without cause, pending commissions on settled Orders remain payable, subject to the Hold Period, minimum thresholds, identity verification, and clawback exposure.
• On termination for cause (fraud, manipulation, AUP violation), unpaid commissions may be forfeited.
